Terms & Conditions

The terms that govern your use of the MediaX Network website and platform.

  1. Introduction
    Welcome to Media X Network (MXN), a SaaS platform providing an online marketplace that connects users (marketing professionals) and outdoor media asset suppliers (Suppliers) to facilitate the planning, booking, and management of Out-of-Home (OOH) advertising campaigns. By accessing or using the MXN platform, you agree to comply with and be bound by these Terms & Conditions. If you do not agree to these terms, you may not use the platform.
  2. Definitions
    • User: Any individual or organization using the MXN platform to search for and book OOH media space.
    • Supplier: Organization listing its outdoor advertising assets on the MXN platform.
    • Platform: The Media X Network SaaS website and associated services.
    • Services: All services provided by MXN, including but not limited to media asset listing, booking, and campaign management.
  3. Eligibility
    You must be at least 18 years old and have the legal authority to enter these Terms & Conditions to use the MXN platform. By using the platform, you represent and warrant that you meet these eligibility requirements.
  4. Account Registration
    • To use MXN, both Users and Suppliers must create an account by providing accurate and complete information.
    • Each user is responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
    • MXN reserves the right to suspend or terminate accounts if we believe that the information provided is inaccurate, misleading, or fraudulent.
  5. Use of the Platform
    • Users and Suppliers agree to use the MXN platform in compliance with all applicable laws and regulations.
    • Users agree to provide accurate details for quotes requests, such as; duration, brand of advertisement and specific location preferences.
    • Suppliers agree to provide accurate descriptions of media assets, including location, availability, pricing, formats artwork specification and associated terms.
  6. Pricing & Payments
    • Users: When booking a media asset, you agree to pay the price as specified by the Supplier. Payments are processed through MXN's secure payment gateway (Credit Card or Bank transfer).
    • Suppliers: MXN provides a platform to list your outdoor media assets. Suppliers are responsible for setting and managing their pricing. MXN will deduct apply a service fee for each transaction, which will be clearly outlined in your agreement with MXN.
    • MXN reserves the right to adjust its service fees at any time, with prior notice to suppliers.
  7. Transaction & Booking Policies
    • Users: Upon booking an outdoor media asset, you are entering into a binding contract with the Supplier. Payments must be completed through the MXN platform, and cancellation policies set by the Supplier will apply.
    • Suppliers: Once a User books an asset, you are obligated to honor the booking and provide the services as described on the platform.
    • Any changes or disputes arising between Users and Suppliers must be communicated through MXN. MXN may mediate, but it is not responsible for resolving disputes.
  8. Cancellations and Refunds
    • Users: Each Supplier sets their cancellation and refund policies, which are clearly listed on the asset page. MXN is not liable for any cancellations or refund disputes; these are handled directly between the User and Supplier, however MXN will play a mediator role to help resolve any conflict at any stage of the process.
    • Suppliers: You may define your own cancellation policy but must honor any cancellation requests made in accordance with that policy.
  9. Intellectual Property
    • All content on the MXN platform, including but not limited to text, images, software, and design, is the intellectual property of MXN or its licensors.
    • Users and Suppliers may use the platform content solely for their own business purposes related to OOH campaigns.
    • You agree not to copy, distribute, or create derivative works of any part of the platform without prior written consent from MXN.
  10. User Conduct
    By using MXN, you agree that you will not:
    • Engage in any illegal or unauthorized activities.
    • Misrepresent your identity or any details of your account, listing, or campaign.
    • Interfere with or disrupt the functionality of the MXN platform.
    • Use the platform to send unsolicited or unauthorized advertising, spam, or other forms of communication.
  11. Liability & Disclaimers
    • MXN provides a platform for connecting Users and Suppliers and facilitating transactions. However, The Supplier is the responsible party to guarantee the quality, suitability, and the availability of any media assets listed on the platform.
    • MXN is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the platform.
    • MXN does not guarantee uninterrupted or error-free access to the platform, and it is provided on an "as is" basis.
  12. Indemnification
    You agree to indemnify and hold harmless MXN, its employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your use of the platform, your violation of these Terms & Conditions, or your violation of any rights of another party.
  13. Termination
    MXN reserves the right to terminate or suspend your account at any time, for any reason, without notice, including if you violate these Terms & Conditions or any applicable law. Upon termination, you must immediately cease using the platform, and any outstanding bookings or transactions will be subject to the applicable terms.
  14. Changes to the Terms
    MXN reserves the right to update or modify these Terms & Conditions at any time. We will notify users of significant changes via email or through the platform. Continued use of the platform after any such modifications constitutes your acceptance of the updated Terms & Conditions.
  15. Governing Law
    These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which MXN operates. Any disputes arising out of these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts in that region.
